THIS CONTRACT IS MADE AND SHALL BE EFFECTIVE FROM THE [ 15TH ] DAY OF [OCTOBER] 20[22] BY AND BETWEEN; CULLEN & MCLEAN SOURCING LIMITED, A COMPANY INCORPORATED IN ENGLAND, UK AND HAVING ITS REGISTERED OFFICE AT VICTORIA HOUSE, VICTORIA STREET, TAUNTON, SOMERSET, TA1 3FA (HEREINAFTER REFERRED TO AS “THE COMPANY”), AND [SERGEI KARPLYUK], A SOLE TRADER LIVING AT ADDRESS [RUSSIA, ST PETERSBURG, USHINSKOGO STR 18] (HEREINAFTER REFERRED TO AS “THE CONTRACTOR”), BOTH THE COMPANY AND CONTRACTOR ALSO BEING REFERRED TO HEREIN AS “PARTY” OR “PARTIES” AS APPROPRIATE.
1 DEFINITIONS & INTERPRETATION
1.1 In this Contract the following words and phrases shall have the meaning ascribed thereto.
1.2 “Affiliates” means, in respect of any company or corporation, any holding or subsidiary company thereof and any subsidiary of such holding company, the terms holding and subsidiary company having the meaning as set out in Sections 736 and 736A of the Companies Act 1985.
1.3 “Client” means any party with whom the Company has contracted and for whose ultimate benefit the Services hereunder are provided.
1.4 “Company Group” means the Company, and the Client from time to time, and the Company’s contractors (other than the Contractor) and their subcontractors of any tier and its and their Affiliates from time to time and, in respect of all the foregoing, their respective officers, directors, employees and agents.
1.5 “Contract” means this agreement together with Appendices 1 and 2 attached hereto and made a part hereof.
1.6 “Contractor Group” means the Contractor and Sub-contractors of any tier, its and their Affiliates and their respective officers, directors, employees, and agents.
